Change of legal form into GmbH & Co. KGaA

Today, NorCom Information Technology AG [ISIN DE000A12UP37] is converting into a partnership limited by shares (KGaA), which was resolved by the general meeting on August 3rd.

With today's entry of the change of legal form in the commercial register, the listing of all bearer shares of NorCom Information Technology AG will be discontinued. It is not necessary to interrupt trading, the listing will be continued seamlessly with the shares of NorCom Information Technology GmbH & Co. KGaA (under the existing ISIN).

In the course of the change of legal form, NorCom Verwaltungs GmbH will join the KGaA as a personally liable partner. The personally liable partner will not hold any equity stake in the KGaA and will in future take over the management and representation of the KGaA through its managing directors.

Managing directors of NorCom Verwaltungs GmbH authorized to represent the company are the former board members of NorCom Information Technology AG, Viggo Nordbakk and Dr. Tobias Abthoff.

The change in legal form of NorCom Information Technology AG to a partnership limited by shares (KGaA) has become effective with the entry in the commercial register today.

With immediate effect, NorCom will operate as NorCom Information Technology GmbH & Co. KGaA. All shareholders of the former NorCom Information Technology AG are now limited partners of NorCom Information Technology GmbH & Co. KGaA.

With the start of trading on October 25, 2018, the security designation of the share with ISIN DE000A12UP37 will be changed from NorCom Information Technology AG to NorCom Information Technology GmbH & Co. KGaA. The shares of NorCom Information Technology GmbH & Co. KGaA will then be tradable from October 25, 2018 when the stock exchange opens. The changeover in the shareholders' custody accounts to the new company name is carried out automatically by Clearstream Banking AG and is free of commission and expenses for shareholders.
